Terms of Service

These Terms of Service (“Terms”) govern your use of flagwise.me (the “Service”), operated by MAKOA LLC (“flagwise”, “we”, “us”), 3833 Powerline Rd, Suite 201, Fort Lauderdale, FL 33309, USA. By using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old to use the Service. By using it you represent that you are 18 or older.
2. The Service
flagwise is a free, community-supported information tool. It compares jurisdictions across topics such as banking, residence, company formation, citizenship, and asset protection, combining verified data with community reports. The Service is provided for general information only and is not tax, legal, or financial advice (see the Disclaimer).
We may change, suspend, or discontinue any part of the Service at any time. We are a free service and give no guarantee of availability.
3. Accounts
Creating an account is optional and unlocks saving, syncing, freshness alerts, and contributions; content remains freely accessible without an account. You are responsible for activity under your account and for keeping your credentials secure. You may delete your account at any time via hello@flagwise.me.
4. User-generated content (UGC)
You may submit contributions such as reports, confirmations, corrections, and bug reports (“User Content”).
Your responsibilities. You agree that your User Content:
- comes from publicly available sources or your own first-hand experience;
- does not contain personal data about yourself or others, and is not copied verbatim from copyrighted sources;
- is accurate to the best of your knowledge, lawful, and not misleading;
- does not infringe anyone’s rights and does not include confidential or privileged information.
Licence to us. You grant flagwise a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, adapt, publish, and display your User Content in connection with operating, promoting, and improving the Service. You retain ownership of your User Content.
Moderation & removal. We may review, edit, refuse, or remove any User Content at our discretion, and may suspend accounts that breach these Terms. See the Community Guidelines. We are not obligated to monitor User Content and are not responsible for content submitted by users.
5. Acceptable use
You agree not to: use the Service unlawfully; scrape, harvest, or bulk-extract data except as expressly permitted; misrepresent your identity or affiliation; submit false, manipulative, or spam content; attempt to game reputation or rankings; upload malware; interfere with or overload the Service; or reverse-engineer it except where permitted by law.
6. Intellectual property
The Service, including its software, design, text, and compiled data (excluding User Content and third-party data under their own terms), is owned by MAKOA LLC and protected by intellectual-property laws. We grant you a limited, personal, non-transferable licence to use the Service for your own non-commercial purposes. flagwise names and logos are our marks and may not be used without permission.
7. Third-party links and services
The Service links to third-party websites, official sources, advisors, and payment providers (e.g. Stripe for donations). We do not control and are not responsible for third-party content, products, or services. Your use of them is governed by their terms.
8. No advice; no reliance
The Service provides general information, not individualized advice. It may be incomplete, out of date, or inaccurate, and it mixes verified data with community-reported (“not verified”) signals. flagwise does not assess your personal circumstances and does not tell you what you should do; it is not professional advice and creates no professional relationship. You must verify any information with a qualified professional before acting. See the Disclaimer.
9. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that any information is accurate or current.
10. Limitation of liability
To the maximum extent permitted by law, MAKOA LLC and its manager, members, and contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your reliance on the Service or any information in it. Our total aggregate liability for any claim relating to the Service will not exceed USD 100.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law (including liability for intent, gross negligence, or personal injury). If you are a consumer in the EEA or the UK, you keep the mandatory protections of the law of your country of residence, and the limitations above apply only to the extent permitted by those mandatory rules.
11. Indemnity
You agree to indemnify and hold harmless MAKOA LLC from claims arising out of your User Content or your breach of these Terms, to the extent permitted by law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms or to protect the Service or other users.
13. Governing law and venue
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules, and disputes will be subject to the courts located in Florida. If you are a consumer in the EEA or the UK, this choice of law and venue does not deprive you of the protection of the mandatory consumer-protection laws of your country of residence, and you may also bring proceedings in the competent courts there.
14. Changes
We may update these Terms; material changes will be indicated by the “Last updated” date and, where appropriate, by notice in the Service. Continued use after changes means you accept them.
